Suracor provides technology consulting and delivery services across Information Technology, Information Security, and Digital Development, including infrastructure modernization, security assessments and controls, managed support, websites, applications, integrations, and AI-enabled workflows. The specific details, deliverables, and payment terms for any services will be outlined in a separate written agreement between Suracor and the client.

We warrant that the services will be carried out with reasonable skill and care, consistent with industry standards. We do not warrant that the services will meet your specific requirements unless explicitly agreed in writing.

3. Your Obligations

You agree to:

  • Provide accurate and complete information as required for the provision of our services;
  • Cooperate with us as reasonably necessary for the provision of services;
  • Make payment for services as agreed in the service agreement;
  • Comply with all applicable laws and regulations relating to your use of our services.

4. Intellectual Property Rights

All intellectual property rights in the website and in any material published on the website (including, but not limited to, text, images, and source code) are owned by us or our licensors.

For client projects, the ownership of intellectual property rights will be specified in the service agreement. Unless otherwise stated in writing, we retain ownership of all intellectual property rights in materials created by us until full payment has been received, at which point specified rights may be transferred to the client as outlined in the service agreement.

5. Limitation of Liability

Nothing in these terms and conditions shall limit or exclude our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any matter in respect of which it would be unlawful for us to exclude or restrict liability.

Subject to the above, we shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profit, loss of business, business interruption, loss of business opportunity, or any indirect or consequential loss arising out of or in connection with these terms and conditions.

Our total liability to you in respect of all losses arising under or in connection with these terms and conditions, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you for the services.

6. Term and Termination

The term of our agreement and conditions for termination shall be as specified in the service agreement. In the absence of specific termination provisions, either party may terminate the agreement with 30 days' written notice.

Upon termination, you shall pay for all services provided up to the date of termination, and any preparatory work that cannot reasonably be avoided.

8. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause that is beyond our reasonable control (including but not limited to acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, flood, epidemic, pandemic, lock-outs, strikes or other labour disputes, or restraints or delays affecting carriers).

9. Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
